MileagePlus Merchandise Awards & Auctions site Rules

1. Access to the MileagePlus site

1.1. MileagePlus site

The MileagePlus site is part of the MileagePlus loyalty program. The use of the MileagePlus site is exclusively for MileagePlus Members who have the capacity to enter into legally binding agreements under applicable law and shall be available until December 31, 2012. The rules relating to the use of the MileagePlus site are set out below and all MileagePlus Program Rules apply. For complete details about the MileagePlus program, visit mileageplus.com

1.2. Acceptance of Terms and Conditions

By accessing this site and making transactions through the MileagePlus site, specifically by clicking the "I AGREE" and similar buttons, you expressly indicate your acknowledgment and acceptance of the rules applicable to the MileagePlus site. MileagePlus, at its sole discretion, may adopt, modify or remove terms and conditions regarding this program at any time without notice. MileagePlus has the sole right to interpret and apply the terms and conditions as they see fit.

1.3. Acceptance of Electronic Communication

You hereby consent to receive electronic communications, including award purchase confirmation, from MileagePlus, its application services provider Loylogic Rewards FZE, ("Services Provider") and the independent partners whether addressed to the email address associated with your MileagePlus account or other email address that you provide. You acknowledge and agree that any communication via email or postings on the MileagePlus Merchandise Awards and Auctions site satisfies any legal requirements that such communications be made in writing.

1.4. Awards

MileagePlus reserves the right to establish eligibility criteria for redemption of awards. The awards consist of any goods or services purchased by you, by buying or bidding, and sold, auctioned, awarded and distributed by independent partners that make available such awards directly to you via the MileagePlus site. Awards issued are subject to the rules of the MileagePlus program. MileagePlus, its subsidiaries, affiliates and agents are not responsible for any products and services of other participating companies and partners.

1.5. Relation between You and Merchant

Every time you purchase, by auction or otherwise, an award via the MileagePlus site, you enter into an agreement directly with the respective partner. MileagePlus, its affiliates and its Services Provider only provide the access and the technical platform for you to redeem awards directly from the partner. You agree and acknowledge that separate terms and conditions of the relevant partner will apply to any award redemptions via the MileagePlus site. You agree to abide to such applicable terms and conditions, including but not limited to, rules and restrictions on availability, shipment and delivery terms, notification of defects, return and refund policies, money back guarantees and claim for damages. Neither MileagePlus nor its affiliates or Services Provider becomes party to the transaction between you and the partner. MileagePlus and the Services Provider strongly recommend that you check the terms and conditions of the partner prior to redeeming any award. MileagePlus and applicable merchants are not responsible for errors and/or omissions in the Awards program. Brainstorm Logistics, LLC is the MileagePlus partner who produces this catalog.

1.6. Use of MileagePlus site

You may only use the MileagePlus site to make non-commercial, legitimate award purchases or benefit from other redemption types and shall not use the site or the MileagePlus site for any other purposes, including making any speculative, false or fraudulent reservations or award purchases or other award redemptions. Awards on the site are subject to availability at the time of booking. By accessing and/or using the MileagePlus site, you authorize MileagePlus, its affiliates and the Services Provider to consider any person using your information a legitimate user. Awards can be redeemed only by the MileagePlus member personally. Members/legal guardians must ensure that the log-in details are not used illegally. MileagePlus and its affiliates and Services Provider bear no responsibility for any consequences of illegal use of the personal details. MileagePlus and its affiliates reserve the right to terminate membership in accordance with the MileagePlus Program Rules.

1.7. Restriction on Use

Due to local laws and regulations, MileagePlus, its affiliates and the Services Provider reserve the right to exclude members from certain jurisdictions from making transactions using the MileagePlus site. By making transactions via the MileagePlus site, you confirm that you are not breaching any laws in your country of residence regarding the legality of such use. MileagePlus, its affiliates and the Services Provider will not be held responsible (i) for the exclusion of MileagePlus members from certain jurisdictions and (ii) if you use the MileagePlus site unlawfully. If in any doubt you should check with the relevant authorities in your country of residence.

3. Award Redemption

3.1. Merchandise (Buying)

Through this redemption type, you have the possibility to purchase awards from partners in exchange for Miles. For each transaction, the use of at least one Mile is mandatory. Offer and pricing are subject to change without notice. Other restrictions may apply. All award orders are subject to availability. You will be notified if the award you have ordered is not available and if and when it will become available. We reserve the right to substitute items of equal or greater value. We will ship the model pictured or the most current comparable model available. Items shown are the latest models available at the time of placing your order.

3.2. Auctions

Through this redemption type, you have the possibility to redeem Miles by bidding on awards by auction. Decisions as to what constitutes a qualifying bid, as well as exceptions, will be made at the sole discretion of MileagePlus, its affiliates or the Services Provider. Although these rules refer to the term "Auction", it is important to note that neither MileagePlus nor its Services Provider is an "auctioneer" in the traditional sense. Instead, MileagePlus allows you to bid for and purchase awards offered by partners in the MileagePlus site using Miles bids in an auction-style format commonly referred to as "auction". For specific bidding rules, and purchase information, see further below.

4. Award Payment

4.1. Payment with Miles

You may purchase an award for such amount of Miles as indicated for each award in the MileagePlus site, provided that you have sufficient Miles available on your account at the time of purchase. Miles that are not yet accrued and credited to your account at the time you place the purchase order are not available for award purchase. Miles are deducted from your account as soon as an award is purchased.

4.2. Conversion into Cash

The conversion of Miles into a cash amount and the payment of such cash amount to you or any similar transactions are not possible, not even in case of return of the award or services or the cancellation of MileagePlus membership.

4.3. Reclaim of Miles

In the event that miles have not been properly debited from your account at the time of redemption, miles can be debited by MileagePlus at any time.

5. Shipping, Handling and Return of Awards

5.1. General

Shipping, handling, returns and other delivery related terms and conditions are as set out in the relevant partner details on the MileagePlus site.

5.2. Shipping

Awards are sent only to the address associated with the member's MileagePlus account or to such other address as explicitly provided with a specific award order. Delivery dates cannot be guaranteed and MileagePlus, its affiliates or its Services Provider assumes no liability for failed deliveries caused by incorrect addresses, absence of the recipient, customs issues, force majeure or other reasons not under the reasonable control of MileagePlus or the Services Provider. Awards will not be delivered to P.O., A.P.O. or F.P.O. boxes. Awards can be shipped only to addresses in the 48 contiguous United States with limited exceptions. If you want to ship to an address other than the address associated with your account, please update the shipping information during the online check-out process. Addresses cannot be changed after order has been made. On a case by case basis, orders may be shipped outside of the 48 contiguous United States to Alaska or Hawaii on an exception only basis. Orders will not be shipped internationally. Please contact the MileagePlus Awards center directly via e-mail at MileagePlusRewards@united.com with the information and MileagePlus will investigate the exception request. Please note that additional shipping charges payable by miles may apply if an item is shipped outside of the contiguous United States.

Items ordered at the same time may arrive separately. The cost of regular shipping and handling is included in the cost for each item. Awards will be delivered to your door within 3-4 weeks of placing the order, with the exception of items requiring Velvet Glove Service indicated with a white glove (See below for details on Velvet Glove Service). Please allow 8 weeks for any furniture delivery.

5.3. Velvet Glove Service

Select Awards are shipped via Velvet Glove. All truck-shipped items will be delivered via Velvet Glove Service. The Velvet Glove crew will deliver the award to the specified address and move it to your room of choice (access permitting) and remove all of the packaging materials. The Velvet Glove crew will not install or set up the merchandise for you. Allow 6-8 weeks for delivery of Velvet Glove Service items unless otherwise specified. A daytime telephone number must be provided for orders that require Velvet Glove Service. Delivery appointments are available Monday through Friday, 9:00AM - 5:00 PM

5.4. Fees and Taxes

The prices on the Award site include all applicable sales taxes and shipping and handling fees unless otherwise specified.

5.5. Refunds and Returns

Miles are not refundable once redeemed. Product awards may not be returned or exchanged unless proven to be damaged or defective, and must be returned within 30 days of delivery. Problems or complaints with awards should be directed to customer service as described below under "Merchandise Return Policy".

5.6. Return Handling

In case of an existing fault in an item, please refer to the relevant partner terms and conditions in the MileagePlus site which shall be exclusively applicable.

5.7. Guarantee Period

In case of an existing fault in an item, such guarantee periods, if any, as set out in the relevant partner terms and conditions in the MileagePlus site are exclusively applicable.

6. Auctions

6.1. Minimum Bid

For each specific auction award you wish to bid for, you must place the required minimum bid in Miles. You will be disqualified if you do not have sufficient Miles at auction closure.

6.2. Maximum Bid

For auctions where you can place a maximum bid, the system will place bidding iteration on your behalf till your maximum bid is reached. If you have placed a maximum bid (higher than the required minimum bid), the system will automatically increase the bid on your behalf, using only as much of your maximum bid as is required to keep you in the winning lot. The maximum bid is the highest price in Miles you are willing to pay for the item.

6.3. Multiple Bids

Multiple quantities of the same award items may be listed as a multi-item auction. In a multi-item auction bidders must specify both the quantity of items they want to bid for and the bid price per item.

6.4. Bidding Details

Bidding period, minimum Miles requirement, bid increments depending on award value, and all other applicable terms will be established by MileagePlus, its affiliates or the Services Provider for each bidding award item and published on the MileagePlus site.

6.5. Bidding Completion

A bid is considered "completed" once you see the respective confirmation page. In case the registration for a specific bid is interrupted and the respective confirmation page is not displayed, you must resubmit your bid after checking "My auctions" page under "My pages". In case a bid is registered after the bidding period has elapsed, such bid is not eligible. Once a bid is completed, you cannot retract or withdraw the bid nor can the bid be decreased. However, your bid can be increased by you at any time during the ongoing bidding process by placing a higher bid.

6.6. Winning Bid

Should your bid be determined the winning bid, this will constitute a legally binding contract between you and the relevant partner and you will receive an email notification with a link to the "My auctions" section of the MileagePlus site. Your Miles will be deducted automatically from your account and you will need to provide your shipping details for processing on the MileagePlus site. If you do not have sufficient Miles, MileagePlus, at its own discretion, may disqualify you and select the next highest bidder as the winning bid. The winner explicitly agrees that the number of Miles invested in the respective auction can be displayed in the MileagePlus site for a certain period following the auction.

6.7. Settlement of Bid Amount

The auction award will only be awarded and delivered to you after the bid amount has been paid and settled in accordance with Section 4.

6.8. Ineligible Winner

Should it be determined that the winner was not eligible to participate or was expelled from participating in the auction for any reason in the sole discretion of MileagePlus, the next highest bidder will be deemed to be the winner.

6.9. Legal Compliance

By participating in an auction via the MileagePlus site, you confirm that you are not breaching any laws in your country of residence regarding the legality of participating in such auction. MileagePlus, its affiliates and the Services Provider will not be held responsible if you enter into an auction unlawfully. If in any doubt you should check with the relevant authorities in your country of residence.

7. Personal Information

7.1. Share of Information

The data collected through the MileagePlus site is governed by United Airlines' Privacy Policy which shall be deemed to be incorporated into these Terms and Conditions. In order for MileagePlus to process any award purchase transactions or other award redemptions via the MileagePlus site, you will have to transmit certain personal information, including your name, home and email address, phone number and, if paid in cash, credit card information. By providing such information you consent to MileagePlus and the Services Provider sharing certain of that information with third party providers as necessary to process and complete the required transaction. MileagePlus and the Services Provider shall not be liable for any incorrect personal information received or obtained from you.

8. Limitation of Liability

8.1. Contracting Party

When purchasing items through the MileagePlus Site, you enter into an agreement with the relevant partner of the award, and not with MileagePlus, its affiliates or its Services Provider. You expressly acknowledge and agree that partners are independent contractors and not employees or agents of MileagePlus, its affiliates or the Services Provider. Neither MileagePlus, its affiliates nor its Services Provider is liable for the acts, errors, omissions, representations, warranties or negligence of the partners. MileagePlus, its affiliates and its Services Provider shall not be responsible for or liable to you in connection with any restrictions, qualifications, or other terms and conditions imposed by the partner on any award items. As far as permissible by applicable law, MileagePlus, its affiliates and the Services Provider hereby disclaim any award or other liability, whether based on contract, tort, strict liability or otherwise, including without limitation liability for any direct, punitive, special, consequential, incidental or indirect damages, in connection with the awards provided by any partner through the MileagePlus site, including without limitation liability for any act, error, omission, injury, loss, accident, delay or irregularity which may be incurred through the fault, negligent or otherwise, of such partner and you hereby expressly exonerate MileagePlus, its affiliates and Services Provider from any liability with respect to the same. To the extent permitted by law, MileagePlus, its affiliates and the Services Provider exclude all liability to you or other person of whatsoever nature in respect of any negligence, willful misconduct, poor service or other breach of obligation arising out of the provision or failure to provide the services by or on behalf of a partner.

8.2. No Warranty

MileagePlus, its affiliates and the Services Provider do not warrant or represent that the content on the MileagePlus site site or any website linked to the MileagePlus site site is complete or up-to-date. MileagePlus, its affiliates and the Services Provider are under no obligation to update any content on the MileagePlus site. MileagePlus may change the content on or make improvement or changes of the MileagePlus site at any time without notice. The information, awards, and descriptions of awards and other services published on the site or a linked MileagePlus site may include inaccuracies or typographical errors, and MileagePlus, its affiliates and its Services Provider specifically disclaim any liability for such inaccuracies and errors.

8.3. Limitation of Liability

You agree that MileagePlus, its affiliates, the Services Provider and any of their respective officers, directors, employers, or agents will not be liable, whether in contract, tort, strict liability or otherwise, for any indirect, punitive, special, consequential, incidental or indirect damages (including without limitation lost profits, cost of procuring substitute service or lost opportunity) arising out of or in connection with the use of the MileagePlus site, or with the delay or inability to use the MileagePlus site or a linked MileagePlus site, even if MileagePlus is made aware of the possibility of such damages. This limitation on liability includes, but is not limited to, the transmission of any virus which may infect your equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems, unauthorized access, theft, operator errors, strike or other labor problems or any force majeure. MileagePlus cannot and do not guarantee continuous, uninterrupted or secure access to the MileagePlus site.

8.4. Legal Remedies

MileagePlus reserves the right to seek all remedies available at law and in equity for any misuse of the site or the MileagePlus site and/or violations of these rules, including the right to block access from a particular internet address and to exclude you from accessing the MileagePlus site.

9. Copy Rights and Trade Marks

The trademarks, logos and service marks ("Marks") displayed on the MileagePlus site are the property of MileagePlus, its affiliates, the Services Provider or of the partner as the case may be. You are prohibited from using any Marks for any purpose including, but not limited to, the use as meta-tags on other pages or sites on the World Wide Web without the written permission of MileagePlus, or such other party which may own the Marks. All information and content including any software programs available on or through the site ("Content") is protected by copyright. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works or using any Content available on or through the site for commercial or public purposes. You take note that one or more patents apply to the features and services accessible via the MileagePlus site, including without limitation: Loylogic's U.S. utility patent application Nr. 11/117,225.

10.Confidentiality of Personal Information

Access to and use of password protected and/or secure areas of the MileagePlus site is restricted to authorized persons only. Unauthorized individuals attempting to access these areas of the MileagePlus site may be subject to prosecution. You are responsible for maintaining the confidentiality of your personal information, including your account and password, and for restricting access to your computer to prevent unauthorized access to the MileagePlus site. You agree to accept responsibility for all redemption and other activities that occur under your account or password. You should take all necessary steps to ensure that the password is kept confidential and secure and should inform MileagePlus immediately if you have any reason to believe that your password has become known to anyone else, or if the password is being, or is likely to be, used in an unauthorized manner.
